Terms of Service

These Terms of Service (“Terms”) constitute a binding legal agreement between you (“Licensee” or “User”) and Software, LLC (“Company,” “we,” “us,” or “our”), the operator of hazmat-tech.com and the Hazardous Material Technology platform (“Service”). By creating an account, accessing, or using the Service in any form — including the website, mobile application, or REST API — you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Description of Service

The Hazardous Material Technology platform provides access to hazardous materials data (including UN/NA number lookups, hazard class, packing group, special provisions, and transport requirements derived from publicly available PHMSA regulatory publications) and a placard calculator tool that generates advisory placarding suggestions for mixed hazmat loads. The Service is available via:

  • The web portal at hazmat-tech.com;
  • Mobile applications for iOS and Android; and
  • A REST API accessible through paid subscription plans.
2. Accounts and Eligibility

You must be at least 18 years of age and legally capable of entering into contracts to use the Service. By creating an account you represent and warrant that all registration information you provide is accurate and current.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at legal@hazmat-tech.com upon becoming aware of any unauthorized use of your account.

3. License Grant and Permitted Use

Subject to your compliance with these Terms and payment of applicable subscription fees, Software, LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business or personal purposes during the applicable subscription term.

4. Prohibited Uses and Resale Restriction

You may NOT:

  • Resell, sublicense, or redistribute the Service or API as a standalone product. You may integrate the API into a software application or service that is materially different and provides unique functionality beyond what the Service itself offers, but you may not offer the hazmat data or API access as the primary value of your product or repackage it for resale.
  • Copy, scrape, or systematically extract data from the Service for the purpose of building a competing hazmat data product or database.
  • Share credentials or API keys with third parties outside of the sub-account seats included in your subscription.
  • Attempt to reverse-engineer, decompile, or disassemble any portion of the Service.
  • Use the Service for any unlawful purpose or in violation of any applicable regulations.
  • Interfere with or disrupt the integrity, security, or performance of the Service or its underlying infrastructure.
5. Placard Calculator — Advisory Use Only

THE PLACARD CALCULATOR IS PROVIDED AS AN ADVISORY TOOL ONLY. ALL PLACARD SUGGESTIONS GENERATED BY THE SERVICE ARE RECOMMENDATIONS ONLY AND DO NOT CONSTITUTE LEGAL, REGULATORY, OR PROFESSIONAL ADVICE.

It is your sole responsibility to verify all placarding suggestions against current applicable federal, state, and local regulations — including but not limited to 49 CFR Parts 172 and 173 — before applying any placard to a shipment or vehicle. A qualified hazmat professional should review placard decisions when in doubt. Software, LLC expressly disclaims any liability arising from reliance on the placard calculator's suggestions. Use the placard calculator at your own risk.

6. Data Accuracy and Regulatory Currency

Software, LLC makes commercially reasonable efforts to synchronize hazmat data with PHMSA publications on a regular basis; however, we make no warranty that the data is complete, current, accurate, or free from errors at any given moment. Regulatory data can change frequently and without notice.

UNDER NO CIRCUMSTANCES SHALL SOFTWARE, LLC OR HAZMAT-TECH.COM BE LIABLE FOR ANY CLAIM, PENALTY, FINE, CITATION, LOSS, OR DAMAGE THAT ARISES FROM OR RELATES TO (A) HAZMAT INFORMATION THAT IS OUT OF DATE OR INCORRECTLY REPRESENTED IN THE SERVICE, OR (B) AN INCORRECT OR SUBOPTIMAL PLACARDING SUGGESTION. YOU EXPRESSLY ASSUME ALL RISK ASSOCIATED WITH RELYING ON DATA OR CALCULATIONS PROVIDED BY THE SERVICE.

7. Availability, System Integrity, and Fair Use

Software, LLC will make commercially reasonable efforts to maintain Service availability. However, we reserve the right, without prior notice and without liability, to:

  • Temporarily throttle or suspend your access if your usage pattern is determined by us, in our sole reasonable discretion, to be causing system degradation for other users due to excessive concurrent request volumes or automated abuse. Access will be restored once the degrading activity ceases or is resolved.
  • Perform scheduled or emergency maintenance that may result in temporary Service interruptions.
  • Permanently terminate your access as set forth in Section 9 (Abuse and Account Termination) if abuse is confirmed.
8. Usage Limits and Overage Billing

Subscription plans include defined monthly or annual usage limits for searches and placard calculations (“Usage Limits”) as stated at the time of purchase. Unlimited plans are subject to fair-use thresholds consistent with normal interactive or integration use.

Overage: If you exceed your applicable Usage Limits within a billing period:

  • Your Service access may be disabled for the remainder of that billing period; or
  • You may be automatically billed for one additional allotment equivalent to your base subscription's usage limits at the same per-period rate, effective at the end of the billing month in which the limits were exceeded. Additional allotments reset at the next standard renewal date.

We will make reasonable efforts to notify you by email before or shortly after your limits are reached. Continued use following overage constitutes acceptance of any applicable overage charges.

9. Abuse and Account Termination

Software, LLC reserves the right, in its sole discretion, to immediately suspend or permanently terminate your account and cancel your subscription (without refund) if we determine that you are:

  • Using the Service outside of accepted or expected usage patterns;
  • Violating any provision of these Terms, including the resale restrictions in Section 4;
  • Using the Service in a way that harms or endangers other users or the platform;
  • Engaging in fraudulent activity, unauthorized access, or any other conduct we deem abusive or inappropriate.

Where practicable, we will provide notice and an opportunity to cure; however, for severe violations we may act immediately without prior notice.

10. Subscription, Payment, Cancellation, and Refunds

Billing. Subscription fees are billed in advance on a monthly or annual cycle as selected at checkout. Payments are processed through PayPal. By subscribing you authorize us to charge the applicable fees via your selected payment method.

Cancellation. You may cancel your subscription at any time through your account settings. Cancellation stops future automatic renewals; your Service access will remain active through the end of the current, already-paid subscription period.

No Refunds. ALL FEES ARE NON-REFUNDABLE. THERE ARE NO REFUNDS OR CREDITS FOR PARTIALLY USED SUBSCRIPTION PERIODS, UNUSED ACCESS, OR EARLY CANCELLATION. This policy applies regardless of the reason for cancellation, including service dissatisfaction, regulatory changes, or data inaccuracies.

Plan Changes. Upgrades take effect immediately with pro-rated credit applied. Downgrades take effect at the next renewal date.

11. Intellectual Property

All software, designs, databases, documentation, and other content comprising the Service are the exclusive property of Software, LLC or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership rights in the Service.

Publicly available PHMSA regulatory data incorporated into the Service is sourced from U.S. government publications. Software, LLC makes no claim of exclusive ownership over that underlying public data; however, the manner in which it is compiled, organized, presented, and delivered through the Service is proprietary.

12. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to our collection and use of personal data as described in the Privacy Policy. We do not sell your personal information to third parties.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, OR ACCURACY OF DATA. SOFTWARE, LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOFTWARE, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, FINES, PENALTIES, OR REGULATORY SANCTIONS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF SOFTWARE, LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CASES, SOFTWARE, LLC'S AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY YOU TO SOFTWARE, LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

15. Indemnification

You agree to defend, indemnify, and hold harmless Software, LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) any reliance you place on data, calculations, or suggestions provided by the Service; or (d) your violation of any applicable law or regulation.

16. Modifications to the Service and Terms

Software, LLC reserves the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We also reserve the right to update these Terms at any time. We will post the revised Terms at hazmat-tech.com/terms-of-service and update the “Last Revised” date above. If a modification is material, we will make reasonable efforts to notify you by email or in-app notification at least 14 days before the change takes effect. Your continued use of the Service after the effective date of any revision constitutes your acceptance of the updated Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall first be submitted to good-faith negotiation between the parties. If not resolved within 30 days, the dispute shall be resolved exclusively in the state or federal courts located in Louisiana, and you hereby consent to the personal jurisdiction and venue of such courts.

18. Miscellaneous
  • Entire Agreement. These Terms, together with any incorporated policies (Privacy Policy, subscription plan terms), constitute the entire agreement between you and Software, LLC regarding the Service and supersede all prior agreements and understandings.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver. Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
  • No Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.
  • Force Majeure. Software, LLC is not liable for any delay or failure in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, government actions, third-party service outages, or cyberattacks.
